A depositary receipt is not the share itself but a certificate of entitlement to it. The foreign company's securities are held in a depositary, while what trades on the exchange is a receipt giving its owner the economic rights attached to them. One receipt may correspond to one share, or to a fraction, or to several: the ratio is set by the programme's terms and bears directly on the price.
The structure exists so that an investor can buy a stake in a company registered abroad without going to a foreign exchange. Settlement and custody run through domestic infrastructure, while dividends arrive along a chain of depositaries — which is why they usually take longer to reach the holder than payments on ordinary shares, and may be taxed in the issuer's country of registration.
